Terms of Service

Please read these Terms of Service ("Terms") carefully before using the exhibitERP platform. By accessing or using our service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using exhibitERP, you agree to these Terms and our Privacy Policy. If you are using the platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
exhibitERP provides a cloud-based enterprise resource planning (ERP) platform designed for the trade show and live event industry. The platform includes tools for event management, exhibitor management, staffing, logistics, invoicing, client portals, and related functionality.
3. Account Registration
You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] of any unauthorized use.
4. Subscription and Payment
exhibitERP is offered on a subscription basis. Subscription fees are billed in advance on the billing cycle selected during signup. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
5. Free Trial
We offer a 14-day free trial for new accounts. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the platform. We reserve the right to limit or discontinue trial access at any time.
6. Acceptable Use
You agree not to use exhibitERP to: (a) violate any applicable law or regulation; (b) infringe on the rights of any third party; (c) transmit malware, viruses, or harmful code; (d) attempt to gain unauthorized access to our systems; (e) use the platform to store or transmit illegal content; or (f) use automated means to access or scrape the platform without our written consent.
7. Your Data
You retain ownership of all data you input into exhibitERP. You grant us a limited license to process your data solely to provide the service. We do not sell your data. You are responsible for ensuring that any data you input complies with applicable laws, including privacy laws governing any personal data of your customers or employees.
8. Intellectual Property
exhibitERP and its original content, features, and functionality are owned by exhibitERP and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform without our prior written consent.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with this Agreement and to use such information only for purposes of this Agreement.
10. Warranties and Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EXHIBITERP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXHIBITERP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless exhibitERP and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the platform; (b) your violation of these Terms; or (c) your violation of any third-party rights.
13. Termination
Either party may terminate this agreement at any time. You may cancel your account through the platform settings. We may terminate or suspend your account immediately if you violate these Terms. Upon termination, your right to access the platform ceases, and we will retain your data for 90 days before deletion.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Michigan.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-platform notification. Your continued use after changes take effect constitutes acceptance of the revised Terms.
